These TERMS AND CONDITIONS OF USE are a legal agreement between MedNotely, LLC and the customer (collectively “you” and “your”). By accessing or using any part of the MedNotely website (collectively the “Site”), including browsing, registering for an account, or accessing digital content, you accept, without limitation or qualification, that you have read, understand, and agree to be bound by these Terms and Conditions of Use. If you do not agree to these terms, you should not use the Site.
In consideration of, and subject to, payment of the appropriate subscription fee for the services to which you subscribe, and your agreement to, and compliance with, the Terms and Conditions of Use, MedNotely grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right and license to use and access the services and materials on the Site from multiple devices and locations with nonconcurrent log-on access. You may not copy, modify, reproduce, duplicate, distribute, transmit, publish, sell, exchange, upload, post, or otherwise exploit any materials from this Site, including but not limited to any software, text, images, audio, and video (collectively the “Materials”) for any business, commercial, or public purpose without express written consent of MedNotely. All Materials on this Site are copyrighted and are protected by federal and worldwide copyright and trademark laws. Unauthorized use, replication, or dissemination of the Materials is strictly prohibited and shall constitute a breach of the Terms and Conditions of Use, subjecting you to legal action and damages.
You may create an account on the Site only if you are 18 years or older (or the legal age of majority in your jurisdiction), capable of forming a binding contract with MedNotely, and are not barred from using the Site under applicable law. If you want to use certain features of the Site, such as accessing the Materials, you will have to create an account. You may not disclose or transfer your account password to anyone or otherwise share access to your account with anyone. Violating these terms will constitute an immediate termination of your account license. Giving false or incomplete profile registration information (such as name, contact information, etc.) is also grounds for termination of your account license. MedNotely, in its sole discretion, reserves the right to disable any account, username, password, or other identifier at any time for any or no reason, including if there has been a violation of these Terms and Conditions of Use.
You understand and agree that the information on this Site is not meant to be a substitute for the advice of a physician or other licensed and qualified medical professional. MedNotely welcomes feedback, comments, and suggestions for improvements to the Site and Materials. MedNotely is free to use, without any compensation to you, any concepts, ideas, or materials contained in any communication you send to the Site for any purpose whatsoever. Such disclosure, submission, or offer of any concepts, ideas, or materials shall, and hereby does, constitute a perpetual, royalty-free, worldwide, irrevocable license to MedNotely of all patent, copyright, trademark, and intellectual property rights to these concepts, ideas, or materials. You should not submit any concepts, ideas, or materials to MedNotely if you do not wish to license such rights to us. However, you understand and agree that MedNotely is not obligated to use any such concepts, ideas, or materials, and you have no rights to compel such use.
All subscriptions to digital content are final as soon as you complete your purchase. Your payment to MedNotely will automatically renew at the end of the applicable subscription period, but you can cancel your subscription at any time. Subscription cancellations will take effect the day after the last day of the current subscription period. If you cancel in the middle of a subscription period, you will be able to continue to access and use the applicable Materials until the end of your subscription period. All deposits and payments by you at the time of cancellation are nonrefundable.
MedNotely may add to, change, or remove any part of these Terms and Conditions of Use at any time, without notice. Any changes to these Terms and Conditions of Use apply as soon as they are posted. You are encouraged to review these terms regularly to remain informed of your rights and obligations. Your continued use of the Site constitutes agreement to any new or modified provision of these Terms and Conditions of Use. MedNotely may also, in its sole discretion, add, change, modify, remove, discontinue, or suspend any aspect of the Site or Materials, temporarily or permanently, at any time, without notice to you and without liability.
